TERMS OF SERVICE

Effective Date: December 20, 2025

These Terms of Service ("Terms") govern your access to and use of FilmPro’s websites, applications, and related services (collectively, the "Services"), which are provided by FilmPro, Inc. ("FilmPro", "we", "us", or "our").

BY CREATING AN ACCOUNT, SUBSCRIBING, ACCESSING, OR USING THE SERVICES, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1. Definitions

  • "Account" means the account you create to access the Services.
  • "AI Features" means any features that use machine learning, large language models, image models, or other generative/artificial intelligence systems to generate or assist in generating outputs.
  • "AI Credits" means the metered usage units included with certain subscription plans that allow access to AI Features, as described in Section 6.
  • "Content" means text, documents, scripts, data, images, audio, video, and other materials.
  • "Customer Content" means Content you or your Authorized Users submit, upload, import, or otherwise provide to the Services (including prompts and inputs to AI Features).
  • "Output" means content generated by the Services (including AI-generated content) based on Customer Content and/or other inputs.
  • "Authorized Users" means individuals you invite, authorize, or otherwise permit to access a workspace or project under your Account (for example collaborators or team members).
  • "Subscription" means a paid recurring plan (monthly or annual) that provides access to certain features and includes an AI Credit allotment per billing cycle.
  • "Free Plan" means any no-cost tier FilmPro may offer.
  • "Third-Party Services" means services, software, platforms, or content provided by third parties that may be integrated into or used in connection with the Services.

2. Eligibility and Authority

  1. Age Requirement: You must be at least 18 years old to create an individual Account and enter into these Terms. If you are under 18 years old, you may only use the Services through an Account created and managed by a parent, legal guardian, or an educational institution or organization that agrees to these Terms on your behalf and is responsible for your use of the Services.
  2. Authority: If you use the Services on behalf of an organization (including a school, educational program, or other institution), you represent and warrant that you have authority to bind that organization to these Terms. The organization is responsible for all use of the Services by its Authorized Users, including minors.

3. Account Registration and Security

  1. Registration: You may be required to create an Account to access certain features. You agree to provide accurate, current, and complete information and to keep it updated.
  2. Security: You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account (including actions by Authorized Users). You agree to notify us immediately of any unauthorized access or suspected security incident at support@filmpro.ai.
  3. Account Sharing: You may not share Account credentials with anyone outside your organization or team. Each Authorized User must access the Services through permitted methods we provide. Account holders are responsible for ensuring Authorized Users, including minors, comply with these Terms.

4. The Services

  1. What FilmPro Provides: FilmPro provides a production management workspace and tools that may include project organization, collaboration features, and AI Features (including "AI Co-Producer" functionality), as made available in the Services.
  2. Changes to the Services: We may add, remove, or modify features at any time. We will use commercially reasonable efforts to provide notice of material changes where practical, but we are not obligated to do so in all cases.
  3. Beta or Experimental Features: From time to time, we may offer certain features labeled beta, preview, experimental, or similar ("Beta Features"). Beta Features may not work as intended and may be changed or discontinued. You use Beta Features at your own risk.

5. Subscriptions, Billing, and Payments

  1. Plans: We may offer a Free Plan and paid Subscriptions. Features, usage limits, collaboration limits, and AI Credit allotments vary by plan and are described in the Services at the time you subscribe.
  2. Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date.
  3. Authorization to Charge: By starting a Subscription, you authorize FilmPro (and our payment processor) to charge your payment method for recurring fees, applicable taxes, and any other amounts you authorize.
  4. Trials and Promotions: If you receive a free trial or promotional pricing, the terms will be disclosed at signup. Unless you cancel before the end of a trial, your Subscription will convert to a paid plan and your payment method will be charged.
  5. Cancellations: You may cancel your Subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period unless otherwise stated. You will retain access to paid features until the end of the billing cycle.
  6. Refunds: Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or unused AI Credits.
  7. Failed Payments; Suspension: If a payment fails or your Account becomes past due, we may suspend or limit access to the Services until payment is received. You remain responsible for all amounts owed.
  8. Plan Changes (Upgrades/Downgrades):
    • Upgrades: If you upgrade, we may charge you immediately (including any prorated amounts) and provide upgraded access immediately.
    • Downgrades: If you downgrade, changes may take effect at the end of the current billing cycle (or immediately if the Services state otherwise). Downgrading may reduce access to features, collaborator limits, and AI Credit allotments.
  9. Taxes: Fees are exclusive of taxes. You are responsible for applicable taxes, duties, or levies, except for taxes based on FilmPro’s income.
  10. Price Changes: We may change prices, plan structures, or included limits from time to time. We will provide reasonable advance notice of changes that materially affect your Subscription, and changes will apply at the next renewal unless required sooner by law or stated otherwise.

6. AI Credits, Usage Limits, and Fair Use

  1. AI Credits are Included in Subscriptions: Certain plans include an allotment of AI Credits each billing cycle. AI Credits are a usage mechanism that enables access to AI Features.
  2. Reset and Expiration: AI Credits reset at the start of each billing cycle. Unused AI Credits do not roll over. AI Credits have no cash value, are non-transferable, and may not be resold.
  3. What Happens When You Use All AI Credits: If you exhaust your AI Credits for a billing cycle, the AI Features may be disabled or limited until (a) your AI Credits reset at the next billing cycle, or (b) you upgrade to a plan with a higher allotment (if available). Non-AI features may remain available depending on your plan.
  4. No One-Off Credit Purchases (Current Model): FilmPro does not currently offer one-off credit packages or top-up credit purchases outside of a Subscription. If this changes, we will update these Terms and/or provide additional terms at the time such options are offered.
  5. Measurement and Adjustments: We determine AI Credit consumption based on the type of AI Feature used and usage volume. We may adjust how AI Credits are calculated to reflect operational costs, feature changes, or model/provider changes, provided we do not materially reduce your plan’s overall value without notice.
  6. Abuse and Excessive Use: We may impose rate limits or other restrictions to prevent abuse, protect system integrity, and ensure fair access. Attempting to bypass limits is prohibited.

7. Acceptable Use

You agree not to use the Services in any way that:

  • violates any law or regulation;
  • infringes, misappropriates, or violates third-party rights (including copyright, trademark, privacy, or publicity rights);
  • is fraudulent, deceptive, defamatory, obscene, hateful, or harassing;
  • attempts to gain unauthorized access to accounts, systems, or networks;
  • interferes with or disrupts the Services (including by introducing malware or conducting denial-of-service attacks);
  • reverse engineers, decompiles, or attempts to discover source code or underlying components of the Services (except where prohibited by law);
  • scrapes or harvests data from the Services at scale without our permission;
  • uses the Services to develop or train competing products, models, or services, except as expressly permitted in writing by FilmPro.

We may investigate violations and suspend or terminate Accounts that violate these Terms.

8. Customer Content, Ownership, and Licenses

  1. Your Ownership: As between you and FilmPro, you retain all rights, title, and interest in Customer Content. FilmPro does not claim ownership of your Customer Content or Output.
  2. License to Operate the Services: You grant FilmPro a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use Customer Content and Output solely to provide, maintain, secure, and improve the Services, including to operate AI Features at your request. This license does not grant FilmPro any ownership or exclusive rights in Customer Content or Output.
  3. Responsibility for Customer Content: You represent and warrant that you have all rights necessary to provide Customer Content and to grant the licenses in these Terms, and that Customer Content does not violate these Terms or applicable law.
  4. Feedback: If you provide suggestions or feedback, you grant FilmPro the right to use it without restriction or compensation.

9. AI Features; Outputs; Important Disclaimers

  1. How AI Features Work: AI Features generate Output based on Customer Content (including prompts, scripts, and other context) and the configuration of the Services. Output may be incomplete, inaccurate, or unsuitable for your specific production needs.
  2. No Reliance; Human Review Required: You are responsible for reviewing and validating Output before relying on it. FilmPro does not guarantee Output is correct, complete, non-infringing, or fit for any purpose.
  3. Intellectual Property and Rights in Output:
    • As between you and FilmPro, you own Output to the extent permitted by law, subject to third-party rights, these Terms, and any limitations imposed by Third-Party Services.
    • FilmPro retains all rights in the Services, including underlying software, prompts, workflows, model orchestration, and system design.
  4. Third-Party AI Providers: AI Features may be powered by third-party model providers ("AI Providers"). To generate Output, we may transmit Customer Content (including scripts and prompts) to AI Providers as part of processing your request. Your use of AI Features constitutes consent to this processing and transmission.
  5. Model Training:
    • FilmPro does not use your Customer Content to train our own proprietary AI models.
    • We also configure AI Providers to not use Customer Content to train their models where such controls are available and as described in our Privacy Policy. AI Provider practices may vary and may change over time. Please review our Privacy Policy for current details.
  6. Safety-Critical Use: The Services are not designed for safety-critical decisions. Do not use Output as a substitute for professional advice or judgment (including legal, medical, financial, or safety advice).

10. FilmPro Intellectual Property

  1. Our IP: FilmPro and its licensors own all rights, title, and interest in the Services, including all software, designs, trademarks, logos, and proprietary technology.
  2. Limited License: Subject to these Terms and your payment of applicable fees, FilmPro grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal production and project management purposes.
  3. Restrictions: You may not copy, modify, distribute, sell, lease, or create derivative works from the Services except as expressly permitted by FilmPro in writing.

11. Third-Party Services

The Services may include integrations with Third-Party Services. FilmPro does not control Third-Party Services and is not responsible for them. Your use of Third-Party Services is subject to their terms and policies.

12. Copyright; DMCA

If you believe content on the Services infringes your copyright, you may submit a notice to our designated agent at:

  • Include the information required by 17 U.S.C. § 512(c)(3).

We may remove allegedly infringing content and terminate repeat infringers where appropriate.

13. Privacy and Data Protection

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, share, and retain information. By using the Services, you consent to our data practices as described in the Privacy Policy.

14. Term and Termination

  1. Term: These Terms begin when you first use the Services and continue until terminated.
  2. Termination by You: You may stop using the Services at any time. You may cancel your Subscription as described in Section 5.
  3. Termination by FilmPro: We may suspend or terminate your access to the Services at any time if (a) you violate these Terms, (b) you fail to pay amounts when due, (c) we are required to do so by law, or (d) necessary to protect the security or integrity of the Services or other users.
  4. Effect of Termination: Upon termination, your right to use the Services stops. We may delete or retain Customer Content as described in the Privacy Policy and as required by law.

15. Disclaimers

THE SERVICES AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE."

To the maximum extent permitted by law, FilmPro disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non infringement, and any warranties arising from course of dealing or usage of trade.

FilmPro does not warrant that the Services will be uninterrupted, secure, or error-free, or that Output will be accurate or reliable.

16. Limitation of Liability

To the maximum extent permitted by law:

  • FilmPro will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.
  • FilmPro’s total liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of (i) the amount you paid to FilmPro in the 12 months before the event giving rise to the claim or (ii) $100.

Some jurisdictions do not allow certain limitations. In such cases, these limitations apply to the extent permitted by law.

17. Indemnification

You agree to indemnify, defend, and hold harmless FilmPro, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from:

  • your Customer Content;
  • your use or misuse of the Services or Output;
  • your violation of these Terms; or
  • your violation of any law or third-party rights.

18. Dispute Resolution; Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights.

  1. Informal Resolution: Before filing a claim, you agree to try to resolve disputes informally by contacting us at support@filmpro.ai with a description of the issue. If the dispute is not resolved within 30 days, either party may proceed.
  2. Binding Arbitration: Except as provided in Section 18.3, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by a recognized arbitration provider in Miami-Dade County, Florida, under its applicable rules.
  3. Exceptions: Either party may (a) bring an individual claim in small claims court (if eligible) and (b) seek injunctive or equitable relief in court for infringement or misappropriation of intellectual property rights.
  4. Class Action Waiver: You and FilmPro agree that disputes will be brought only on an individual basis. You waive any right to participate in a class, collective, or representative action.
  5. Arbitration Opt-Out: You may opt out of arbitration by sending an email to legal@filmpro.ai within 30 days of first accepting these Terms, stating you are opting out and providing the email address associated with your Account. If you opt out, disputes will be resolved in court as described in Section 19.

19. Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. If a dispute is permitted to proceed in court (other than small claims), the exclusive venue will be state or federal courts located in Miami-Dade County, Florida, and you consent to personal jurisdiction there.

20. Export Compliance

You may not use the Services if you are subject to sanctions or located in a jurisdiction where providing the Services would be prohibited under applicable export control or sanctions laws. You agree to comply with all applicable export control and sanctions regulations.

21. General Terms

  1. Entire Agreement: These Terms and any policies referenced (including the Privacy Policy) form the entire agreement between you and FilmPro regarding the Services.
  2. Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  3. No Waiver: Failure to enforce a provision is not a waiver.
  4. Assignment: You may not assign these Terms without FilmPro’s prior written consent. FilmPro may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
  5. Force Majeure: FilmPro is not liable for delays or failures due to events beyond its reasonable control.
  6. Notices: We may provide notices by email, through the Services, or by posting within the Services.
  7. Electronic Communications: You consent to receive communications electronically and agree that electronic communications satisfy legal requirements for written notice.
